TERMS AND CONDITIONS
SERVICES RENDERED
Sanivac USA LLC, (“Sanivac”) agrees to furnish the equipment for the rental and servicing of a portable unit along with the removal of liquid waste and cleaning of each unit as specified by The Customer (“Customer”). Customer agrees to make payment for said services according to payment terms and conditions set forth by Sanivac USA LLC.
BINDING EFFECT This Agreement is a legally binding contract on both the part of Sanivac USA LLC and Customer and their respective heirs, successors, and assignees in accordance with the terms and conditions put forth herein.
TOILET AND/OR HANDWASHING UNIT RENTAL
This agreement shall include the rental of a portable toilet, along with the collection and disposal of liquid waste, replenishment of fresh water, deodorant, toilet paper and the cleaning of the interiors. Customer acknowledges that in order to provide regular service, the unit must remain clear of debris and any building materials. The company’s vehicle must be able to come within 15′ of the unit. If the toilet is not accessible on service day, the toilet will not be serviced again until the next scheduled service day. If a second cleaning is requested, a $50 additional fee will be applied. Only human waste and toilet paper are permitted in the toilet. No garbage or toxic materials of any kind are permitted to be disposed of in the toilet. If Sanivac USA LLC indeed finds such non-human waste or toilet paper, including but not limited to: aluminum cans, cigarettes, metal objects, clothing, sand, gravel, or any other material that could function as an obstacle to the proper vacuuming, sanitization, and recycling of the toilet, Sanivac will assess an additional amount of $75.00 dollars which will serve as Sanivac’s liquidated damages compensation. In addition, Sanivac reserves the right to remove the unit from the site that is not in compliance and discontinue services to the Customer. No refunds will be given for days not used for non-compliant toilets.
PRICING
All equipment and services are billed to an agreed-upon rate of (4) weeks or twenty-eight (28) days of services, OR (7) days units. All units are subject to applicable taxes. Sanivac USA LLC does not pro-rate for unused days if the toilet is picked up early. Sanivac USA LLC reserves the right to adjust its rates based upon increases or decreases in fuel costs, disposal facility costs or due to changes in local, state, or federal laws and regulations. Prices may change without notice.
PAYMENT
Upon entering into this agreement: The customer gives Sanivac USA LLC permission to automatically charge the credit card provided for the portable unit, portable toilet or hand washing unit rental. Unless otherwise agreed the customer shall make PAYMENT IN ADVANCE for all quoted services, by either Major Credit Card, Cash, Money Order or Pre-approved business check. The customer further agrees to pay any and all additional charges, any and all emergency charges such as additional rental fees, damages, failure to deliver, or any costs as a result of damage to company equipment from customer negligence, or from removal of hazardous or prohibited material. Customers who pay by credit card and incur additional fees will have the credit card charged for those fees. In the event, that Customer fails to perform its obligation to remit payment, and payment is collected through an attorney, collection agency or other proceedings, then Customer agrees to pay in addition to the amount due, reasonable attorney’s fees, court costs, interests, and other applicable fees.
DELIVERY OR EQUIPMENT
Delivery times provided by Sanivac USA LLC are approximate, Sanivac USA LLC shall have no liability for failure or delay in delivery or failure to notify Customer of any delay or non-delivery. Sanivac USA LLC is not responsible for the Customer’s failure to designate unit placement at delivery. If unit is set in an undesired area because Customer failed to designate a placement area and Sanivac USA LLC is asked to return, Sanivac USA LLC reserves the right to charge a fee of $75 plus fuel costs. Portable Units CANNOT be placed on sidewalks, backyards, through gates, or up/downstairs. Relocation of the unit will be performed at Sanivac USA LLC earliest time possible. Customer agrees not to remove units from site or permit the units to be removed from the site without Sanivac USA LLC expressed written consent.
SITE MOVE
Do not move portable units, toilets or trailers you will be responsible for any damage caused by moving the unit. Please contact customer service to move a portable unit to a new location. Scheduling a portable unit move will incur a new rental fee unless it is your regular service day (no charge will be added). If you have a trailer on a jobsite it may be moved only around that jobsite delivered to and you may not drive over 20mph with trailer and unit.
RETURN OF EQUIPMENT
It is the responsibility of the Customer to notify Sanivac USA, LLC when equipment needs picked up. However, the Customer is still liable for any damaged, lost, stolen, burned equipment until said time Sanivac USA LLC picks up the equipment. Our standard timeframe is 48 hours after the pickup request has been processed. All requests submitted after 2:00 pm will be processed as of the next full business day.
In case the Portable Toilet Unit is inaccessible for pickup by Sanivac due to a Third Party’s lockout, or intentional, or unintentional, retention of equipment, as when a unit may remain inside a closed or locked, yard, access area, work site, facility, factory, land, or territory, that belongs to a Third Party, the Customer shall cause said Third Party to unlock, open, allow access to, and in general permit Sanivac to enter and pickup said unit as soon as practicable, but no later than 72 hours. After said period, a penalty fee of $20.00 dollars per day will apply to the outstanding balance of the Customer.
LIMITATION OF LIABILITY
Sanivac USA LLC shall not be liable for damage to pavements or other driving surfaces resulting from the weight of vehicles servicing the equipment location designated by Customer, nor for any damages incurred while executing Customer’s directions. In no event shall Sanivac USA LLC, its members, managers, employees, agents, attorneys, insurers, affiliates, successors, or assigns be liable for: i)any claim, loss, damage or expense of any kind (including strict liability in tort) arising out of or related to the ownership, selection, possession, lease, operation, control, use, maintenance, delivery or return of the equipment; ii) incidental, indirect, special or consequential damages (including loss of profits or production), whether suffered by Customer or any third party, no matter the cause; or, iii) any amount in excess of the amount Sanivac USA LLC, receives from Customer as payment under this Agreement.
DAMAGE TO UNIT
Customer agrees to return all equipment furnished under this Agreement to Sanivac USA LLC in the same condition as delivered. Customer shall bear the risk of loss and damage to equipment. In the event of damage, intentional or negligent, be it by the Customer or its invitees, employees, assigns, bailees, custodians, attendants, etc., Customer shall pay the lesser of (a) the cost of repair pursuant to the chart below, or (b) total loss of the toilet. For purposes of the previous sentence, Total Loss means damages are more than $300.00 dollars and the toilet at this point is beyond repair. In case of Total Loss, the cost of replacement, is agreed to be $800.00, for a standard toilet, and $1,600.00 for an ADA-compliant toilet; which will be billed to the Customer at those rates. No loss or damage to equipment, in whole or in part, shall impair Customer’s payment obligations under this Agreement. The following additional fee(s) will be applied for missing/damaged items:
- Broken Wall: $250
- Broken Seat: $50
- Missing locks/keys: $40
- Broken Door Handle: $25
- Missing sanitizer dispenser: $29
- Missing hand sanitizer bag: $15
- Missing toilet paper rod: $10
- Graffiti (defined as any paint material over the surface(s) be it external or internal walls of the toilet): $50
- Burning damage: $250
- Hazardous residue or substances: $250
RETURNED CHECK POLICY:
There will be a set fee of $35.00 for any payment received by Sanivac USA LLC is deemed insufficient funds.
AUTHORITY
The signer below represents and warrants that he/she has read the document and understands its contents and is duly authorized to execute this agreement and agrees to reimburse the company for all expenses or damages incurred. The customer understands and agrees that all services rendered to the individual/company for whom he/she is the responsible party are charged directly to him/her and that he/she is personally responsible for payment. The customer understands that if service is suspended or terminated, any fees for services rendered to him/her will be immediately due and payable. The customer understands that interest of 18.75% annual will be charged on overdue accounts accruing on a monthly balance for each month the account remains overdue.
AUTOMATIC PAYMENT CONSENT
Customer agrees and acknowledges that for convenience of all parties, the automatic billing features provided by Sanivac’s merchant account and banking representatives are of great convenience for everyone involved and provide expeditious means of complying with the payment terms of this agreement. Therefore, Customer agrees, consents, and hereby authorizes Sanivac to collect via ACH payments, any amounts due and outstanding at the time of delivery, pick-up, cleaning, sanitization, and inventory of the portable toilet unit.
